Terms of Service

These Terms of Service (“Terms”) govern your use of the Sarathi autonomous coding agent and the website at neuralsarathi.io(the “Service”) operated by NeuralSarathi (“we”, “us”, or “our”). By creating an account or using the Service, you agree to these Terms.

1. Eligibility

You must be at least 13 years old (or the minimum age of digital consent in your jurisdiction) to use the Service. By using the Service, you represent that you meet this requirement and are legally able to enter into a binding agreement.

2. Your Account

You are responsible for maintaining the security of your account and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use. We are not liable for any loss or damage arising from unauthorized account access.

3. Subscription, Trial, and Payment

3.1 Free trial

New users receive a free 7-day trial of the Pro plan, during which all Pro features are available. The trial begins when your account is created and expires exactly 7 days later, regardless of usage. No payment information is required to start a trial.

3.2 Paid subscription

Following the trial, continued access to Pro features requires a paid subscription at USD $20.00 per month, billed in advance. Subscription fees are non-refundable except as expressly stated in these Terms.

3.3 Automatic renewal

Subscriptions renew automatically at the end of each billing period until canceled. You may cancel at any time from your account dashboard; cancellation takes effect at the end of the current paid period.

3.4 License validity

Access to Pro features is granted through time-limited license keys. A license key is valid only until its stated expiration date. Expired keys cannot be renewed except by an active subscription.

3.5 Price changes

We may change subscription fees with at least 30 days' notice. Changes take effect at the start of your next billing cycle following the notice.

4. Acceptable Use

You agree not to:

• Use the Service to violate any law or third-party right
• Attempt to reverse-engineer, decompile, or extract the license-signing keys or proprietary logic of the Service
• Share, resell, or sublicense your license key to third parties
• Circumvent license expiration, trial limits, or other access controls
• Abuse the trial by creating multiple accounts to extend trial access
• Use the Service to generate malicious, infringing, or harmful code

5. Intellectual Property

The Service, including its software, design, and documentation, is the property of NeuralSarathi and is protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service for the duration of your active subscription, subject to these Terms.

Code and content generated by Sarathi while you use the Service belongs to you, to the extent permitted by the rights in any underlying third-party material.

6. The Service Is Provided “As Is”

The Service is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that generated code will be correct or secure.

7. Limitation of Liability

To the maximum extent permitted by law, in no event will NeuralSarathi be liable for any indirect, incidental, special, or consequential damages arising out of or related to the Service, including loss of profits, data, or goodwill. Our total aggregate liability for any claim arising from these Terms or the Service is limited to the amount you have paid us in the 12 months preceding the claim.

8. Indemnification

You agree to indemnify and hold NeuralSarathi harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your misuse of the Service or your violation of these Terms.

9. Termination

You may delete your account at any time. We may suspend or terminate your access if you violate these Terms or if your account remains unpaid. Upon termination, all license keys issued to you become invalid.

10. Governing Law

These Terms are governed by the laws of India, without regard to conflict-of-law principles. Any disputes will be resolved in the courts of competent jurisdiction in India.

11. Changes to These Terms

We may revise these Terms from time to time. We will post the updated Terms on this page and update the “Last updated” date. Material changes will be communicated by email or in-app notice. Continued use after changes constitutes acceptance.
